Terms of Service

By accessing our website or engaging MaxBiddr for services, you agree to be bound by these Terms of Service. Please read them carefully before proceeding.

1. Services

MaxBiddr provides digital marketing, web development, SaaS development, mobile app development, creative production, and brand strategy services to business clients. Specific deliverables, timelines, and fees are defined in individual project agreements or service retainer agreements signed between MaxBiddr and the client.

2. Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, and necessary access to accounts and assets. Delays caused by client inaction may affect project timelines and will not be considered breaches by MaxBiddr. Clients must ensure they have the legal right to any materials they provide to us.

3. Payment Terms

Retainer fees are due on the 1st of each month. Project-based work requires a 50% deposit before commencement with the balance due upon project completion. Overdue invoices are subject to a late payment charge of 2% per month. MaxBiddr reserves the right to pause services for accounts overdue by more than 14 days.

4. Intellectual Property

Upon receipt of full payment, clients own all deliverables created specifically for their project. MaxBiddr retains the right to display work in our portfolio unless otherwise agreed in writing. MaxBiddr retains ownership of any proprietary methodologies, frameworks, templates, and internal tools used in delivering services.

5. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the engagement. MaxBiddr will not disclose client-specific strategies, data, or financials without written consent. This obligation survives the termination of the agreement for a period of two years.

6. Limitation of Liability

MaxBiddr's total liability to any client for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim. We are not liable for any indirect, incidental, or consequential damages, including loss of profits, even if advised of the possibility of such damages.

7. Termination

Either party may terminate a retainer agreement with 30 days' written notice. Project agreements may be terminated by mutual written consent. Upon termination, all outstanding fees become immediately due. MaxBiddr will provide all completed work and access credentials within 14 days of final payment.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of [City], India. Both parties agree to attempt good-faith negotiation before pursuing formal legal proceedings.

9. Amendments

MaxBiddr reserves the right to modify these Terms at any time. Clients will be notified of material changes via email. Continued engagement after receiving notice of changes constitutes acceptance of the revised Terms.
